Kuwait plans instant digital checks on eligibility to conduct business

Commerce Ministry seeks electronic link with Interior Ministry to speed up company formation and prevent unnecessary delays over pending cases under proposed digital system; pending cases not automatic bar

The Ministry of Commerce and Industry is seeking to establish an advanced electronic link with the Ministry of Interior to accelerate company formation and streamline commercial transactions through instant verification of individuals’ legal eligibility to conduct business.

The proposed system is intended to reduce paperwork, shorten processing times and prevent commercial transactions from being suspended merely because an individual is involved in a pending case or has been accused of an offence. Commercial restrictions would instead be applied in cases where enforceable judicial rulings carry legal consequences prohibiting the individual from practicing commercial activities, in accordance with Article 25 of the Commercial Law.

In this connection, the Ministry of Commerce has requested the Ministry of Interior to study the completion and development of electronic connectivity between the two entities, paving the way for an automated mechanism to identify individuals legally barred from conducting business.

The proposed electronic verification will cover partners, company directors and individuals associated with incorporation applications. It will also apply to transactions involving the entry or withdrawal of partners, changes in ownership percentages and shares, amendments to partner details, and the registration or updating of beneficial ownership information whenever verification of legal eligibility is required.

Under the proposed mechanism, the civil ID number of the concerned individual will be transmitted electronically from the Commerce Ministry’s system to the General Administration of Criminal Evidence. The system will then automatically return the result, indicating whether an existing and enforceable judicial ruling prohibits the individual from engaging in commercial activities or whether the matter requires examination by the competent authority.

The mechanism will provide only the information necessary to determine eligibility, without disclosing unrelated details of cases or investigations.

The Commerce Ministry has stressed that the verification process must reflect the actual legal status of judicial rulings, including whether their legal effect has expired or the individual has been rehabilitated. Accordingly, the mere existence of a pending case, accusation or non-final incident should not automatically prevent a person from completing a commercial transaction when no enforceable legal restriction exists.

The initiative aims to standardize verification procedures, improve the accuracy of official records and prevent the establishment or modification of commercial entities involving individuals whose enforceable judicial convictions legally prohibit them from conducting business. At the same time, it seeks to protect the rights of individuals who face no such legal restrictions from unnecessary administrative obstacles.

The technical proposals include a list of 13 classification codes corresponding to offences covered by Article 25 of the Commercial Law. These include commercial fraud, fraudulent bankruptcy, theft, fraud and deception, breach of trust, forgery and the use of forged documents, including falsification of official documents, seals and trademarks.

The Ministry of Commerce has asked the Ministry of Interior to examine the technical adoption of these codes to facilitate automated verification of the relevant commercial disqualifications.

The proposed electronic linkage is also expected to strengthen data confidentiality, improve coordination between government authorities and gradually reduce reliance on paper correspondence and manual searches wherever possible.

The move forms part of efforts to modernize Kuwait’s commercial administration, making company registration and related transactions faster and more efficient while ensuring that legal restrictions are applied accurately and only where enforceable judicial decisions require them.
